APPLIED MATERIALS TERMS AND CONDITIONS

Any “Transaction” for equipment, services, spares, cloud services, and software (“Products”) whether sold or licensed to Buyer, will be governed by the applicable Applied Materials Terms and Conditions (“Terms”) as such Product and corresponding Terms are identified below, and as such Terms are in effect as of the date of the Transaction, or as accepted via the applicable software or cloud service application. If no Product specific terms are specifically identified below, then the Applied Materials Semiconductor Equipment, Parts and Service Terms and Conditions of Sale will be the applicable governing Terms. Notwithstanding the above, if Buyer and Applied Materials have mutually executed a written agreement that covers the Transaction (an “Executed Agreement”), then such Executed Agreement will govern the Transaction. However, for an Executed Agreement to apply to the provision of Applied Materials' Premium Software or Cloud Service Products (if described as such below), the Executed Agreement must expressly and specifically identify the name of the Product to which it is applicable. By issuing a purchase order for, or taking delivery of, any of the Products, or otherwise proceeding with the Transaction, Buyer agrees to be bound by the Terms (or reaffirms the Executed Agreement, if applicable).

If no such Executed Agreement exists, and Buyer does not agree with the Terms, please do not proceed with the Transaction and contact your Applied Materials representative to discuss entering into a written agreement for such Products.

If any Buyer acceptance, purchase order, or other communication states different terms or conditions additional to or different from the Terms (or the Executed Agreement, if applicable), those additional or different terms or conditions are hereby deemed material alterations and notice of Applied Materials’ objection to and rejection of them is hereby given.
